Drake AV Video Ltd – Supplier Terms & Conditions
1. Agreement
1.1 These Terms apply to all goods and services (“Goods”) supplied to Drake AV Video Ltd (“Drake AV”) unless we have a separate signed agreement with you.
1.2 By accepting a Purchase Order (“Order”) from Drake AV or supplying any Goods against it, you (“the Supplier”) agree to these Terms.
2. Orders, Price and Payment
2.1 Only written Purchase Orders issued by Drake AV are valid.
2.2 The price and payment terms are as agreed between Drake AV and the Supplier.
2.3 Unless stated otherwise, prices are:

- Exclusive of VAT, and
- Inclusive of packaging, insurance and delivery to the address on the Order.
2.4 Invoices must show as a minimum:

- Drake AV Purchase Order number
- Supplier name
- Description and quantity of Goods / Services
- Unit price and total
- Delivery date and delivery address
3. Delivery and Delivery Hours
3.1 Goods must be delivered to the address shown on the Order on the agreed date(s).
3.2 Standard delivery hours are:
09:00 – 17:00, Monday to Friday (excluding UK bank holidays) unless we agree something different in writing.
3.3 Risk in the Goods passes to Drake AV when the Goods are delivered and accepted at the stated address.
4. Specifications, Quality and Acceptance Criteria
4.1 Goods and Services must:
- Match the description, quantity and specification on the Order and any referenced documents
- Be of satisfactory quality and fit for the purpose made known to you
- Comply with all relevant UK laws, regulations and safety standards
4.2 Acceptance criteria are based on the Goods:
- Being the correct items and quantities
- Arriving undamaged and in good condition
- Working correctly and meeting the agreed specification
4.3 All Goods are subject to inspection on delivery. Drake AV may reject or return, at the Supplier’s cost, any Goods which are:
- Damaged, faulty or unsafe
- Incorrect items or quantities
- Not in accordance with the Order or specification
5. Inspection, Nonconformity and Warranty
5.1 Drake AV’s signature on a delivery note does not mean the Goods are fully accepted – it only confirms receipt.
5.2 If we find problems with the Goods (on delivery or later), we may:
- Reject and return the Goods to you
- Ask you to repair or replace them at your cost
- Agree a reduced price, or
- Fix the issue ourselves or via a third party and recover reasonable costs from you
5.3 Unless otherwise agreed in writing, you warrant that the Goods are free from defects for at least 12 months from delivery, or for the manufacturer’s standard warranty period if this is longer.
6. Packaging and Environmental Requirements
6.1 You must package the Goods so they are protected in transit and clearly labelled.
6.2 Wherever reasonably possible, you must use minimal, recyclable and/or reusable packaging.
6.3 For electrical and electronic equipment, you must comply with all applicable environmental and WEEE legislation, including correct markings and information for safe disposal.
7. Ethical, Labour and Legal Compliance
7.1 You must comply with all applicable UK laws and regulations, including those covering:
- Health and safety
- Anti-bribery and corruption
- Data protection
- Sanctions and export controls
7.2 No slave or forced labour:
You must not use, and must not allow in your supply chain, any form of slave, forced, bonded, trafficked or child labour. You must take reasonable steps to prevent modern slavery and human rights abuse in your operations and supply chain.
7.3 On reasonable request, you will provide information to Drake AV to demonstrate compliance with these ethical and legal requirements.
8. Working at Drake AV or Customer Sites
8.1 Where your staff or subcontractors visit Drake AV premises or customer sites, they must:
- Follow all site rules, health and safety instructions and security requirements
- Use suitable PPE and equipment where required
- Be competent and appropriately trained for the work they carry out
9. Subcontracting and Suppliers
9.1 You remain responsible for the quality and compliance of any subcontractors or sub-suppliers you use.
9.2 You must pass down relevant requirements from these Terms and our Purchase Order to your own suppliers where needed to ensure conformity of the Goods.
10. Records and Traceability (where applicable)
10.1 Where required by the Order or by law, you must maintain traceability (e.g. serial or batch numbers) for Goods supplied.
10.2 You should keep relevant quality and delivery records for at least 5 years and provide copies to Drake AV on reasonable request.
11. Confidentiality
11.1 Any non-public information about Drake AV, our projects, systems, prices or customers which you receive is confidential and must only be used to fulfil our Orders.
11.2 You must not share such information with third parties without our written permission, unless required by law.
12. Cancellation and Termination
12.1 Drake AV may cancel all or part of an Order before delivery by written notice.
12.2 Drake AV may terminate the contract immediately if you:
- Commit a serious breach of these Terms and do not fix it within a reasonable time, or
- Become insolvent or cease trading.
13. Liability and Governing Law
13.1 Nothing in these Terms limits either party’s liability for death or personal injury caused by negligence, or for fraud.
13.2 These Terms and any Orders are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
